Introduction; Consent to Terms
Please read this National Public Radio, Inc. (“NPR”, or “we”) Terms of Use Agreement (“Terms of Use”) before using NPR’s site at shopnpr.org or any other site redirecting to shopnpr.org, including shop.npr.org (the “NPR Shop”), buying any goods or services (including software) sold through the NPR Shop, engaging in any other transactions through the NPR Shop, or signing up for any newsletter or other communications, including, without limitation, marketing communications, through the NPR Shop. By visiting the NPR Shop, you agree to be bound by the Terms of Use, and acknowledge that the NPR Privacy Policy (“Privacy Policy”) describes how we and others may collect and use information when you use the NPR Shop.
By visiting and/or using the NPR Shop, you signify (i) that you have read and understood the Terms of Use and the Privacy Policy, and (ii) that the Terms of Use have the same force and effect as a signed agreement. If you are accepting the Terms of Use on behalf of your employer or any other person or party, you affirm that you have the authority to accept the Terms of Use on its behalf. You affirm that you are either more than 18 years of age, an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the Terms of Use and to abide by and comply with the Terms of Use.
We reserve the right to modify or discontinue the NPR Shop (or any features of the NPR Shop), temporarily or permanently, with or without notice to you, and are not obligated to support or update the NPR Shop. YOU AGREE THAT NPR SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY IN THE EVENT THAT WE EXERCISE OUR RIGHT TO MODIFY OR DISCONTINUE THE NPR SHOP (OR ANY FEATURES OF THE NPR SHOP). Unless explicitly stated otherwise, any new content or features that augment or enhance the current NPR Shop shall be subject to the Terms of Use.
If you do not agree to the Terms of Use and the Privacy Policy, please exit the NPR Shop and do not use the NPR Shop or any of its features. We reserve the right, at our discretion, to modify the Terms of Use or the Privacy Policy at any time by posting updated Terms of Use or an updated Privacy Policy on the NPR Shop. Please check the Terms of Use and the Privacy Policy frequently for updates. Any modifications to the Terms of Use or the Privacy Policy will be effective immediately upon posting. Your continued use of the NPR Shop following the posting of updated Terms of Use or an updated Privacy Policy means that you agree to those changes.
The Terms of Use and the Privacy Policy do not govern and are separate and distinct from the terms of use and privacy policies governing the sites, applications, platforms and services of NPR’s member stations, the sites, applications, platforms and services of producers or providers of programs or other content to NPR, which may include NPR’s member stations (collectively, “Content Providers”), the sites, applicable, platforms and services of third parties providing goods or services related to the NPR Shop (collectively, “Shop Vendors”), and other sites, applications, platforms and services that may link to or from the NPR Shop. NPR, NPR member stations, Content Providers, Shop Vendors, and other parties directly or indirectly related to the operation of the NPR Shop and other NPR retail programs, are sometimes collectively referred to herein as “NPR Shop Parties.”
Copyrights
The contents and features of, and the materials and tools available through, the NPR Shop are protected by U.S. and international copyright laws. The contents of the NPR Shop are owned by or licensed to NPR or other NPR Shop Parties. You may not reproduce, distribute, republish, upload, transmit, display, prepare derivative works of, scrape for the purposes of replicating or republishing (by you or by third parties), publicly perform, sell, transfer, assign, license or use for personal or commercial purposes any copyrighted material on the NPR Shop without the prior written consent of NPR, except as provided in the Terms of Use. You may not use, or enable others to use, any content, information, or other material on the NPR Shop to build or train large language models, machine learning tools, or artificial intelligence (AI) systems without the prior written consent of NPR. All rights not expressly granted in the Terms of Use are reserved to NPR Shop Parties. To request permission for any other use of NPR content, visit our permissions page.
Trademarks
National Public Radio®, NPR®, Tiny Desk®, NPR program and application names, and NPR logos, and the names, logos and program names of member stations and Content Providers and any other trademarks or service marks other trademarks and service marks (“marks”) that are used in connection with the NPR Shop, are the property of National Public Radio, Inc., member stations, Content Providers, other NPR Shop Parties, or other licensors. These marks are protected from reproduction, imitation, dilution and confusing or misleading uses under national and international trademark laws, and all rights in these marks are reserved by their respective owners. You may not use any such marks without the prior written consent of their respective owner(s).
Restrictions on Use of the NPR Shop
In your use of the NPR Shop, you will not:
- · use the NPR Shop for any purpose other than for using the content, features, materials and tools we intentionally make available to you;
- · post, upload, transmit or submit (“Submit”) any information that NPR, in its sole discretion, determines is confidential (including social security or alternate national identity numbers or sensitive personal information), false, misleading, unlawful, infringing, threatening, abusive, harassing, libelous, defamatory, discriminatory, obscene, offensive, inflammatory, scandalous, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate the law;
- · Submit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or other form of solicitation;
- · Submit any material that may infringe the copyright, trademark, trade secret, or other proprietary rights, including privacy and publicity rights, of any party;
- · copy, download or distribute any part of the NPR Shop in any form or medium without the prior written authorization of NPR;
- · alter, modify or make derivative works from any part of the NPR Shop without the prior written authorization of NPR;
- · provide false personal information for yourself or anyone else;
- · use web crawlers, web robots, web scutters, ants, automatic indexers, bots, worms, and other such devices in connection with the NPR Shop; provided, however, that general purpose Internet search engines and non-commercial public archives that use tools to gather information for the sole purpose of displaying hyperlinks to the NPR Shop are granted a limited exception from the foregoing exclusion, provided that they do so from a stable IP address or range of IP addresses using an easily-identifiable agent;
- · interfere with or disrupt the integrity or performance of the NPR Shop, any platform or service operated by an NPR Shop Party, any features thereof, or related systems or networks, or use the NPR Shop in any way that degrades its reliability, speed or operation, or its underlying hardware or software, or attempt to gain unauthorized access to the NPR Shop or any platform or service operated by an NPR Shop Party;
- · obtain or attempt to obtain any content through any means not intentionally made available or provided for through the NPR Shop;
- · impersonate or misrepresent any person or entity or your affiliation with someone else;
- · remove, modify, disable, block, obscure or otherwise impair any advertising in connection with the NPR Shop; or
- · Submit to the NPR Shop any software or other material that contains any virus, trap door, back door, worm, Trojan horse or other harmful computer code, files, scripts, agents, programs, adware, device or other features that may access, alter, delete, damage or disable any hardware, software, information or other property of NPR, NPR member stations, other Content Providers, NPR Shop Parties, or users of the NPR Shop.
Product and Services Information
Information contained on the NPR Shop may be incorrect, incomplete or inaccurate, or appear inaccurate because of the browser, hardware, software or other technology that you use. NPR reserves the right to correct errors (whether by changing information on the NPR Shop or by informing you of the error and giving you an opportunity to cancel your order, in NPR’s sole discretion) or to update product information at any time without notice. Descriptions or images of, or references to, products and/or services on the NPR Shop does not imply NPR’s endorsement of such products and/or services. NPR reserves the right, with or without prior notice, to: change descriptions, images of, or references to products and/or services; limit the available quantity of any product or service; honor, or refuse to honor, any coupon, coupon code, promotional code or other similar promotion; and/or refuse to provide any visitor to or user of the NPR Shop with any product or service. The inclusion of any products and/or services on the NPR Shop does not imply or warrant that these products or services will be available at any particular time. Photographs may not accurately show the product or service offered.
Pricing and Payment
If you wish to purchase goods made available by or through the NPR Shop (a “Transaction”), you may be asked to supply certain information applicable to your Transaction to NPR or an NPR Shop Party, including credit card or debit card information or information about the other payment method you use for the Transaction. Any information that you provide to NPR will be handled in the manner described in our Privacy Policy. Any information that you provide to an NPR Shop Party other than NPR will be handled in the manner described in that NPR Shop Party’s privacy policy. You agree that all information that you provide in connection with your Transaction will be accurate, current and complete. You agree to pay all charges incurred by you or any users of your account and payment method at the price(s) set forth on the NPR Shop at the time of your Transaction. These prices do not include, and you must pay, any excise, sales, use, or like taxes associated with your Transaction. Prices advertised on the NPR Shop are subject to increase in the amount of any such tax that NPR may be required to collect or pay in connection with the Transaction. You are responsible for (and will indemnify the NPR Covered Parties against) all taxes associated with Transactions entered into by you or users of your account.
You agree that you will not attempt to conceal your identity by using multiple Internet Protocol addresses or email addresses to use or to conduct Transactions on the NPR Shop. You grant NPR and NPR Shop Parties the right to provide any information you Submit to third parties for purposes of facilitating the completion of Transactions initiated by you or on your behalf. Verification of information may be required prior to the completion of any Transaction.
Pricing for Transactions shall be as set forth on the NPR Shop and may be changed by NPR from time to time. NPR may choose to temporarily change pricing for promotional events or new products or services, and such changes shall be immediately effective when NPR posts the temporary pricing change to the NPR Shop. In the event that a product available on or through the NPR Shop is listed at an incorrect price or with incorrect information whether or not due to reasons within NPR’s control, NPR will have the right to refuse or cancel any order placed for product listed at the incorrect price. Your receipt of an electronic or other form of order confirmation neither signifies NPR’s acceptance of your order nor constitutes confirmation of NPR’s offer to sell. NPR reserves the right at any time after receipt of your order to accept or decline your order for any reason. NPR may charge and withhold any applicable sales tax applicable to an order. Unless otherwise available on the NPR Shop, all prices on the NPR Shop are stated in U.S. dollars, and payment must be made in U.S. dollars. Purchases do not qualify as contributions and are not tax-deductible.
When you conduct a Transaction, processing of the Transaction and collection of payments may be handled by Shopify or such other e-commerce service or NPR Shop Party that we may use from time to time (“Processor”). Transactions will be processed only after a billing address and other payment information have been verified. If we receive incorrect payment information, the processing of your Transaction will be cancelled without further notice.
All payment transactions are processed through Processor. Processor will collect from you the Transaction amount and any applicable processing fee, and thereafter will deduct the processing fee and remit payment of the Transaction amount to NPR or an NPR Shop Party in accordance with Processor’s merchant card processing terms in effect from time to time.
If you do not receive a confirmation number (in the form of a confirmation page or email) after Submitting payment information, or if you experience an error message or service interruption after Submitting payment information, it is your responsibility to confirm with NPR or the applicable NPR Shop Party that your Transaction has been completed.
NPR IS NOT RESPONSIBLE FOR ANY ERRORS, MALFUNCTIONS, DATA BREACHES OR OTHER ACTS OR OMISSIONS OF ANY PROCESSOR AND YOU AGREE TO WAIVE ANY CLAIMS AGAINST NPR RELATED THERETO.
Shipping and Returns
Shipping and return options will be offered in accordance with the then-current NPR Shop’s Shipping & Returns terms. You may be required to accept an end user license agreement (“EULA”) or other terms provided by the manufacturer prior to use of the product you ordered. A EULA or other terms may accompany the product you ordered. You may not return a product based on your failure to be informed of or provided with the EULA or other terms prior to purchase.
Title to and the risk of loss and damage of all products purchased through the NPR Shop passes from the applicable Shop Vendor to you at the time the applicable Shop Vendor delivers the products to the common carrier for shipment. By purchasing products on the NPR Shop for shipment, you are asking the applicable Shop Vendor to engage a common carrier to deliver your order. In doing so, NPR is providing a service to and acting on behalf of you. By using this service, you warrant that you are acting in a manner compliant with applicable laws regarding the purchase, transportation and delivery of the products in your order. You warrant that you have obtained any required permission, paid any required fees, are working through properly-licensed intermediaries where required, are legally entitled to take possession of the products, and are legally entitled to take the quantities ordered. Shop Vendors reserve the right to choose any and all procedures, packaging and the common carrier for delivery of sold products. Shop Vendors may not be able to have your order shipped to a post office box, to certain addresses or on certain days. Shop Vendors reserve the right to ship your order in multiple boxes or shipments.
Shipping fees shall be applied at checkout and do not include applicable sales tax. Shipping fees for outside the continental United States shall be displayed at checkout. You may be given an option to alternate shipping options (e.g. through USPS First Class, Priority, or Express Mail), and you understand that expedited shipping may be subject to different shipping fees, which shall be displayed at checkout. You are encouraged to use the tracking information provided with the carrier’s order shipment confirmation to monitor the shipment’s progress and prevent any possible issues with delivery. Shipping providers may have additional terms and conditions applicable to shipping items or services offered through the NPR Shop. Notwithstanding any shipping information listed or shipping options available or selected on the NPR Shop, you acknowledge and agree that shipping services are provided by third parties outside of NPR’s control and that NPR shall have no responsibility or liability for any shipping delays, late deliveries, the condition of items received, lost or stolen deliveries, or any other issues related directly or indirectly to shipping of items or services purchased through the NPR Shop. YOU AGREE TO WAIVE ANY CLAIMS AGAINST NPR RELATED TO THE SHIPPING AND DELIVERY OF ITEMS OR SERVICES PURCHASED THROUGH THE NPR SHOP.
NPR Shop Parties reserve the right to refuse any return or exchange made inconsistent with any policies related to returns or exchanges of items purchased through the NPR Shop. You retain title to any merchandise sent for return or exchange until received and accepted by the applicable NPR Shop Party.

User Submissions
You may Submit feedback, notes, messages, ideas, concepts, know-how, techniques, or other communications to the NPR Shop (“User Submissions”). By Submitting any such materials to the NPR Shop, you represent and warrant that you will not Submit material that is copyrighted, protected by trade secret or otherwise subject to third-party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to Submit the material and to grant NPR all of the rights and licenses granted herein. In addition, you agree to pay for all royalties, fees and other payments owed to any party by reason of your Submitting User Submissions. NPR EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONNECTION WITH USER SUBMISSIONS.
If you Submit any User Submissions to NPR, you hereby grant a non-exclusive, royalty-free, perpetual right and license to NPR, NPR Shop Parties, and their respective affiliates to use, reproduce, distribute, display, transmit, publish, modify, edit and/or create derivative works from the User Submissions in any format, including without limitation coding or watermarking such User Submissions, on the NPR Shop and in related promotional materials provided in any medium, forum or format, for any purpose of NPR in its sole discretion.
You also agree that immediately upon the creation by or on behalf of NPR of any derivative works from, modifications, edits or other changes to the User Submissions (the “Modified Content”), the Modified Content will become the sole and exclusive property of NPR and that we will own the entire right, title and interest in and to the Modified Content, including the right to secure copyright registration for the Modified Content and to otherwise use the Modified Content for any purpose as determined by NPR in its sole discretion. You hereby grant, assign, transfer and convey any and all right, title or interest you have or may be deemed to have in and to the Modified Content to NPR.
NPR welcomes your comments and suggestions. However, except for any personal information we may collect from you pursuant to our Privacy Policy, User Submissions will be considered non-confidential and non-proprietary. You understand that whether or not such User Submissions are published or posted, NPR (i) does not guarantee any confidentiality with respect to any User Submissions (except as described in our Privacy Policy), (ii) does not pay any compensation for User Submissions, and (iii) is under no obligation to respond to or post any User Submissions.
YOU AGREE TO WAIVE, AND HEREBY DO WAIVE, ANY LEGAL OR EQUITABLE RIGHTS OR REMEDIES YOU HAVE OR MAY HAVE AGAINST THE NPR COVERED PARTIES WITH RESPECT TO USER SUBMISSIONS.
Termination of Access
You acknowledge that NPR has the right to limit or terminate your, or any other person’s, access to or account in the NPR Shop for any reason, in its sole discretion, including violation of the Terms of Use. Upon termination or cancellation of your access to or account in the NPR Shop, you shall immediately discontinue all access to and use of the NPR Shop. NPR SHALL NOT BE LIABLE FOR ANY DAMAGES, OR LOSS OF DATA, AS A RESULT OF THE TERMINATION OR CANCELLATION OF YOUR ACCESS TO OR ACCOUNT IN THE NPR SHOP.
Links to the NPR Shop
NPR is an organization committed to the highest journalistic ethics and standards and to independent, non-commercial journalism, both in fact and in appearance. Therefore, although NPR encourages and permits links to content on the NPR Shop, the linking should not suggest that NPR promotes or endorses any third party’s causes, ideas, products, sites, applications, platforms or services, or use NPR content for inappropriate commercial purposes or in any way that is unlawful or harmful to any other person or entity. Except as you have otherwise agreed with NPR in writing, you may link to the NPR Shop from your website, subject to the following: (i) you may not frame, or utilize framing techniques to enclose any portion of, the NPR Shop (including images, text, page layout or form) with information from another third-party site, application, platform or service; (ii) you will not override or hinder the functionality of an end-user’s web browser’s “back” function; (iii) the link must be identified using a plain text rendering of the NPR name and not any NPR mark; (iv) you may not use any NPR mark in any way; (v) you may not use the link in any way that suggests that NPR is associated with or endorses you or your website; (vi) the link may not appear on any website that a reasonable person may consider obscene, defamatory, harassing, offensive or malicious, and may not be presented in any way that disparages NPR or any NPR Shop Party or damages its rights, reputation, or goodwill; and (vii) we may terminate your right to link to the NPR Shop at any time for any reason or no reason.
Links to Third-Party Sites, Applications, Platforms and Services
The NPR Shop may contain links to sites, applications, platforms and services maintained and owned by third parties over which NPR has no control. NPR does not endorse the content, products or services of such sites, applications, platforms and services, or any of their operators, and NPR is not responsible or liable for the content, privacy policies (or lack thereof), availability, accuracy, quality, advertising, products, services, practices or other materials on or available from such sites, applications, platforms and services. You understand that you use and access such sites, applications, platforms and services solely at your own risk. The links are provided for your reference and convenience only, and do not necessarily imply any endorsement, sponsorship or recommendation of the material on such sites, applications, platforms or services or any association with their operators. NPR will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on the content, products or services available on or through such sites, applications, platforms and services.
In some cases, the NPR Shop may include certain embedded tools provided and controlled by third parties and governed by the terms and policies of the third parties. You should only use the third-party tools if you agree to their respective terms and policies. Please be aware that third-party services are unrelated to NPR, and that your use of any third-party services is subject to the terms and policies of those services.
NPR or other NPR Shop Parties may receive a commission, payment, or other consideration from the third parties in connection with purchases you may make on such third parties’ sites, applications, platforms or services linked to from the NPR Shop.
BY USING THE NPR SHOP, YOU EXPRESSLY RELEASE NPR, NPR member stations, Content Providers, NPR Shop parties, and their respective directors, officers, employees, members, licensees and suppliers (COLLECTIVELY THE “NPR COVERED PARTIES”) FROM ANY AND ALL LIABILITY ARISING FROM YOUR USE OF ANY THIRD-PARTY SITE, APPLICATION, PLATFORM OR SERVICE AND FROM ANY LOSS OR DAMAGE OF ANY SORT YOU MAY INCUR FROM DEALING WITH ANY THIRD PARTY, EVEN TO THE EXTENT SUCH THIRD PARTIES MAY BE OR ARE NPR SHOP PARTIES. Accordingly, we encourage you to be aware when you leave the NPR Shop and to read the terms and conditions of use and privacy policy for each other website or online service that you visit.
International Users
The NPR Shop is controlled and managed by NPR from its offices in the District of Columbia, United States of America.
The content and all other features, materials and tools made available through the NPR Shop are presented for the purpose of providing retail services and goods and services incidental thereto that are or may become available in the United States, its commonwealths, territories and possessions.
NPR makes no representation that the content, features, materials or tools made available on or through the NPR Shop are appropriate (or, in some cases, available) for use outside of the United States. The content, features, materials and tools made available through the NPR Shop are not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation, or which would subject NPR to any registration requirement within such jurisdiction. NPR reserves the right to limit the availability of the NPR Shop to any person, geographic area or jurisdiction, at any time and in its sole discretion, and to limit the quantities of any such content, features, materials or tools provided through the NPR Shop.
The right to access the NPR Shop is revoked where either the Terms of Use or use of the NPR Shop is prohibited, or to the extent that making any of the NPR Shop available conflicts with any applicable law, rule or regulation.
If you access the NPR Shop from a location outside the United States, you agree that:
● you do so of your own initiative and at your own risk;
● you are solely responsible for using the NPR Shop in compliance with U.S. law and other applicable laws, including local laws regarding online conduct, online content, and the transmission of technical data exported from the United States or the country in which you reside, if and to the extent local laws are applicable, and also other applicable U.S. export laws and regulations; and
● YOU ACCEPT FULL RESPONSIBILITY FOR ENSURING THAT YOUR USE OF THE NPR SHOP IS IN COMPLIANCE WITH ALL LAWS, RULES AND REGULATIONS APPLICABLE TO YOU, AND WAIVE ANY CLAIMS THAT MAY ARISE UNDER THE LAWS OF OTHER STATES, COUNTRIES OR OTHER JURISDICTIONS.
.● YOU WAIVE ANY CLAIMS AGAINST NPR OR ANY NPR SHOP PARTY ARISING FROM ANY LIABILITY ARISING FROM YOUR USE OF THE NPR SHOP OUTSIDE OF THE UNITED STATES.
Representations and Warranties; Indemnification
You represent and warrant to NPR that (i) your use of the NPR Shop complies with the Terms of Use; (ii) you are authorized to provide any information provided to NPR or any NPR Shop Party in any registration screen, profile, email, telephone call or through other means including all personal details, and that any contact details and all other information or data provided to NPR, is true in all respects, up-to-date and not misleading; (iii) you will keep the information referred to in clause (ii) up to date; (iv) you will not access the NPR Shop under false identity or pretext and will not use it to falsify your or any other person’s identity; and (v) you will use the NPR Shop lawfully and in good faith.
You agree that you will indemnify and hold harmless the NPR Covered Parties from any and all claims, liabilities, loss, demand, damage, costs or expenses, including reasonable attorneys’ fees, arising from or related to (i) your breach of any of your representations, warranties or obligations in the Terms of Use; (ii) your use of the NPR Shop; (iii) any User Submissions you have Submitted on or through the NPR Shop; or (iv) your violation of any third-party right, including without limitation any copyright, trademark, proprietary, publicity or privacy right. This provision does not require you to indemnify any NPR Covered Party for any unconscionable commercial practice by such NPR Covered Party or for such party’s fraud, deception, false promise, misrepresentation or concealment, suppression or omission of any material fact in connection with the NPR Shop.
Disclaimer
THE NPR SHOP AND ANY CONTENT, FEATURES, USER SUBMISSIONS, GOODS, PRODUCTS, MERCHANDISE, SERVICES AND OTHER MATERIALS AND TOOLS AVAILABLE ON OR THROUGH THE NPR SHOP ARE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NPR DOES NOT WARRANT THAT THE NPR SHOP OR ANY FEATURES THEREOF WILL BE UNINTERRUPTED OR ERROR-FREE. NPR DOES NOT MAKE ANY WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE NPR SHOP OR ENDORSE, RECOMMEND, OR MAKE ANY WARRANTIES AS TO THE CONTENT, FEATURES, USER SUBMISSIONS, GOODS, PRODUCTS, MERCHANDISE, SERVICES AND OTHER MATERIALS AND TOOLS AVAILABLE ON OR THROUGH THE NPR SHOP OR THROUGH LINKS ON THE NPR SHOP. USE OF THE NPR SHOP IS ENTIRELY AT YOUR OWN RISK.
LIMITATION OF LIABILITY
IN NO EVENT WILL THE NPR COVERED PARTIES BE LIABLE (I) FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE NPR SHOP, OR ANY ALLEGED FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT OR DELAY IN SERVICE, OPERATION OR TRANSMISSION OF THE NPR SHOP, OR ANY ALLEGED COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OF PROPERTY, AND/OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF OR POSTING OF ANY RECORD, CONTENT, OR TECHNOLOGY, PERTAINING TO OR ON THE NPR SHOP, (II) RELATING TO ANY GOODS, PRODUCTS, MERCHANDISE, CONTENT, FEATURES, MATERIALS, SERVICES, OR TOOLS AVAILABLE ON OR THROUGH THE NPR SHOP, OR (III) IN CONNECTION WITH ANY THIRD-PARTY CONTENT, MATERIALS OR TOOLS (INCLUDING USER SUBMISSIONS) OR THE DEFAMATORY, INFRINGING, OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY. YOU AGREE THAT THIS LIMITATION OF LIABILITY APPLIES WHETHER SUCH ALLEGATIONS ARE FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR FALL UNDER ANY OTHER CAUSE OF ACTION, REGARDLESS OF THE BASIS UPON WHICH LIABILITY IS CLAIMED AND EVEN IF THE NPR COVERED PARTIES OR THEIR PRESENT OR FUTURE AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. IN NO EVENT WILL THE NPR COVERED PARTIES BE LIABLE FOR ANY AMOUNT IN EXCESS OF TEN DOLLARS (USD $10.00). The foregoing limitations of liability will not apply to liability of the NPR Covered Parties for (i) death or personal injury caused by any NPR Covered Party’s negligence, or for (ii) any injury caused by any NPR Covered Party’s, fraud or fraudulent misrepresentation arising out of or related to the NPR Shop.
No Unauthorized Export
International orders may be subject to import duties and taxes. If you are located outside of the United States and NPR or an NPR Shop Party ships products to you, you will be entirely responsible for compliance with U.S. export laws and import laws of the destination (and any countries of transshipment). You will be solely responsible for any license fees, customs duties, and other taxes and fees related to the export of the products from the United States and the import of the products to the destination (and any countries of transshipment).
You may not use or otherwise export or re-export any goods from the NPR Shop except as authorized by U.S. law and the laws of the jurisdiction from which you accessed the NPR Shop. In particular, but without limitation, goods from the NPR Shop may not be exported or re-exported (i) into any U.S.-embargoed countries or (ii) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the NPR Shop, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use the NPR Shop for any purposes prohibited by U.S. law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
Right to Change the NPR Shop
NPR reserves the right to change, suspend or terminate the NPR Shop, any of its features, materials or tools, or any content, goods, or materials contained in the NPR Shop, in any way, at any time and for any reason. NPR also has the right to require you to cease accessing, or otherwise block your access to, any features, content, goods, or materials of the NPR Shop.
Governing Law; Venue
The Terms of Use are governed by and construed in accordance with the laws of the District of Columbia law, without regard to its choice of law rules, and, where applicable, the laws of the United States. ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO THE TERMS OR USE OR THE NPR SHOP WILL BE GOVERNED AND INTERPRETED BY AND UNDER THE LAWS OF THE DISTRICT OF COLUMBIA, WITHOUT GIVING EFFECT TO ANY PRINCIPLES THAT PROVIDE FOR THE APPLICATION OF THE LAW OF ANY OTHER JURISDICTION. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY EXCLUDED FROM THE TERMS OF USE. To the extent permissible by law, any disputes under the Terms of Use or relating to the NPR Shop will be litigated in the local or federal courts located in the District of Columbia, and by using the NPR Shop you consent to personal jurisdiction and venue in the District of Columbia.
Digital Millennium Copyright Act (DMCA) Notices; Copyright Agent
NPR respects the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement by any content or material on the NPR Shop, please provide the following information in writing to NPR’s Copyright Agent (see 17 U.S.C. § 512(c)(3) for further detail):
● a physical or electronic signature of a person authorized to act on behalf of the owner of the copyright.
● a description of the copyrighted work that you claim has been infringed.
● a description of the material that you claim to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information sufficient to permit us to locate the material.
● information so that we can contact you, such as address, telephone number and email address.
● a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
● a statement that the information in the notification is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the owner of a copyright that is allegedly infringed.
If you believe that any content or materials you posted, uploaded or Submitted to the NPR Shop, that were subsequently removed from the NPR Shop, or to which access was disabled, were improperly removed or disabled, please provide the following Counter-Notification to NPR’s Copyright Agent (see 17 U.S.C. § 512(g) for further detail):
● your physical or electronic signature.
● a description of the materials that have been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled.
● a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.
● your name, address and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which the address is located, and that you will accept service of process from the person who provided notification of the alleged infringement.

A modification or waiver of a part of the Terms of Use will not constitute a waiver or modification of any other portion of the Terms of Use. If for any reason any provision of the Terms of Use is found unenforceable, that portion will be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions will remain in full force and effect. NPR reserves the right to assign or delegate any right or obligation related to these Terms of Use to any third party, including any NPR Shop Party, in its sole and absolute discretion with or without notice to you.
